WorkSeat Terms of Service

WorkSeat is a business operations platform used by companies to run their client, site, proposal, scheduling, field and invoicing work in one place. These Terms describe the rules for using it.

1.Acceptance of these terms

These Terms of Service (the “Terms”) govern access to and use of the WorkSeat software platform, websites and related services (together, the “Service”). By creating an account, accepting an invitation to a workspace, or otherwise using the Service, you agree to these Terms on your own behalf and on behalf of the organization you represent (the “Customer”).

If you do not agree to these Terms, do not access or use the Service. Where the Customer has signed a separate written agreement with WorkSeat covering the Service, that agreement controls to the extent it conflicts with these Terms.

2.Eligibility and account registration

The Service is intended for business use by organizations and their personnel. You must be at least 18 years old and able to form a binding contract. Access is invitation-based: an administrator of a WorkSeat workspace grants access, assigns a role, and determines which organizations, sites and records a user may see.

You agree to provide accurate registration information, including a working email address that can receive confirmation and security messages, and to keep it current.

3.User accounts and account security

Accounts are personal to the individual they are issued to and must not be shared. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

You must notify WorkSeat promptly if you believe an account, workspace or connected integration has been accessed without authorization. Workspace administrators are responsible for reviewing membership, roles and access, and for removing access when a person leaves the organization or changes responsibilities.

4.Authorized business use

The Customer may use the Service for its internal business operations and for communicating with its own clients, contacts and personnel. Access rights are scoped by role and by assignment; you may only use the Service within the access granted to you.

The Service is not designed or authorized for consumer use unrelated to a business, for use in circumstances where failure could lead to death, personal injury or environmental harm, or for processing regulated categories of data (such as payment card numbers, protected health information or government identifiers) unless expressly agreed in writing.

5.The WorkSeat services

WorkSeat is a business operations platform. Depending on the features enabled for a workspace, the Service may include:

  • Client, contact, site and portfolio records
  • Estimates, proposals, secure customer-facing proposal links and approvals
  • Scheduling, jobs, operations, programs and crew assignment
  • Field documentation, photos, checklists and proof of work
  • Invoices, payments, vendor bills and related financial records
  • Messaging, notifications and activity history
  • Assistant and review features that use AI models to draft or revise content
  • Third-party integrations, including accounting integrations

WorkSeat may add, change, or remove features over time. Where a change would materially reduce core functionality the Customer relies on, WorkSeat will use reasonable efforts to provide advance notice.

6.Customer and user responsibilities

You are responsible for:

  • the accuracy of the operational, financial and customer information you enter into the Service, including amounts on estimates, proposals and invoices;
  • obtaining any consents required for you to upload information about your own clients, contacts, personnel or locations into the Service;
  • reviewing content that AI-assisted features generate before it is sent, approved or relied upon; and
  • your own accounting, tax and legal determinations. The Service is not accounting, tax or legal advice.

7.Acceptable use

You must not:

  • access data, workspaces, sites or records you have not been granted access to;
  • attempt to bypass authentication, permission checks, secure share links, rate limits or other technical controls;
  • reverse engineer, copy, resell, sublicense or create a competing product from the Service, except where such restriction is prohibited by law;
  • upload malicious code, or content that is unlawful, infringing or harassing;
  • probe, scan or load-test the Service or connected integrations without written permission; or
  • use the Service to send unsolicited bulk messages.

8.Customer data

“Customer Data” means the information the Customer and its users submit to the Service, including client and contact records, sites, estimates, proposals, jobs and operations, documentation, photos, messages, invoices and financial records, and information received from connected integrations at the Customer’s direction.

The Customer retains all rights in Customer Data. WorkSeat processes Customer Data in order to provide, secure, support and improve the operation of the Service for that Customer, and as otherwise directed by the Customer through use of the Service. WorkSeat’s handling of personal information is described in the WorkSeat Privacy Policy.

9.Intellectual property

The Service, including its software, interfaces, design, brand, and documentation, is and remains the property of WorkSeat and its licensors. Subject to these Terms, WorkSeat grants the Customer a non-exclusive, non-transferable, revocable right to access and use the Service during the term of its subscription, for its internal business purposes.

No rights are granted other than those expressly stated. WorkSeat may use feedback you voluntarily provide to improve the Service without obligation to you.

10.Third-party services and integrations

The Service can connect to third-party services at the Customer’s direction, such as accounting systems, address and mapping services, email delivery, and AI model providers used by assistant features. Those services are operated by their own providers under their own terms and privacy policies.

WorkSeat does not control third-party services and is not responsible for their availability, accuracy, or acts and omissions. Connecting a third-party service means you authorize the exchange of the information required for that integration to function.

11.QuickBooks Online / Intuit integration

Where a workspace connects QuickBooks Online, an authorized administrator or owner completes an Intuit-hosted authorization. WorkSeat receives access credentials for that specific QuickBooks company and stores them server-side only. Credentials are never exposed in the browser or shared with other workspaces.

In this integration, WorkSeat is the operational system where work is performed and QuickBooks Online is the accounting system of record. When a workspace finalizes an invoice in WorkSeat, WorkSeat may resolve or create the matching QuickBooks customer and create the corresponding QuickBooks invoice, and stores permanent identifier mappings so repeated operations do not create duplicates. Accounting totals, payments, balances and payment status recorded in QuickBooks are treated as authoritative and are read back into WorkSeat.

Use of QuickBooks Online is governed by the Customer’s own agreement with Intuit. Intuit is not a party to these Terms.

12.Authorization to exchange permitted accounting data

By connecting an accounting integration, the Customer authorizes WorkSeat to access, transmit and store the business and accounting information necessary to provide the integration, which may include customer and vendor records, invoices and invoice lines, payments and balances, bills, and the status and metadata of those records.

WorkSeat uses this information only to provide the integration and related features to that workspace. An administrator may disconnect the integration at any time from the integration settings in WorkSeat, or revoke the connection from within QuickBooks. On disconnection, WorkSeat stops requesting new data and discards the stored access credentials for that connection.

13.Service availability

WorkSeat aims to keep the Service available and performs maintenance and deployments on an ongoing basis. Unless a written agreement states a specific service level, the Service is provided without a committed uptime guarantee, and availability may be affected by maintenance, third-party providers, network conditions or events outside WorkSeat’s control.

14.Subscriptions, fees and billing

Access to the Service may be provided on a paid subscription basis. The plan, fees, billing period, payment method, currency and renewal terms applicable to a Customer are those set out in the written agreement, order form or plan confirmation between WorkSeat and that Customer. No pricing is created or implied by these Terms.

Unless that agreement states otherwise, fees are payable in advance, are exclusive of applicable taxes, and non-payment may result in suspension of access. Invoicing features inside WorkSeat relate to the Customer’s own billing of its clients and are separate from fees the Customer owes WorkSeat.

15.Termination and suspension

A workspace owner or administrator may remove a user’s access at any time. A Customer may stop using the Service and request termination of its workspace as set out in its agreement with WorkSeat.

WorkSeat may suspend or limit access, in whole or in part, where necessary to protect the Service or other customers — for example in the case of suspected unauthorized access, a security risk, unlawful use, material breach of these Terms, or non-payment. WorkSeat will use reasonable efforts to give notice where it is practical and lawful to do so.

16.Data following disconnection or termination

Disconnecting an integration does not delete records already created in WorkSeat, and does not delete anything in the third-party system. Records that were created in QuickBooks remain in QuickBooks and remain subject to the Customer’s relationship with Intuit.

After termination of a workspace, Customer Data may remain in WorkSeat’s systems and backups for a limited period before deletion, so that the Customer can request an export and so that backups can cycle. A Customer may request export or deletion of its Customer Data by contacting WorkSeat; see the Privacy Policy for how requests are handled.

17.Disclaimers

Except as expressly stated in a written agreement, the Service is provided “as is” and “as available”, and WorkSeat disclaims all warranties to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

WorkSeat does not warrant that the Service will be uninterrupted or error-free, that AI-generated content will be accurate or suitable, or that data received from a third-party service will be complete or current. You remain responsible for reviewing operational, financial and customer-facing output before relying on it.

18.Limitation of liability

To the fullest extent permitted by law, WorkSeat will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost business, or loss of data, arising out of or relating to the Service, even if advised of the possibility of such damages.

Where a written agreement between WorkSeat and the Customer specifies a liability cap, that cap applies. Otherwise, WorkSeat’s total aggregate liability arising out of or relating to the Service is limited to the amounts paid by the Customer for the Service in the twelve months preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot lawfully be excluded.

19.Indemnification

The Customer will defend and indemnify WorkSeat against third-party claims, damages and reasonable costs arising from the Customer’s Customer Data, the Customer’s use of the Service in breach of these Terms or applicable law, or the Customer’s use of a connected third-party service outside the authorization it holds.

20.Changes to the Service or these Terms

WorkSeat may update these Terms from time to time. The “Last updated” date at the top of this page reflects the current version. Material changes will be communicated by posting the updated Terms here and, where appropriate, by notifying workspace administrators. Continued use of the Service after an update takes effect constitutes acceptance of the updated Terms.

21.Governing terms

These Terms, together with the Privacy Policy and any written agreement or order form between WorkSeat and the Customer, form the entire agreement regarding the Service and supersede prior discussions on that subject.

If any provision is found unenforceable, the remaining provisions stay in effect. A failure to enforce a provision is not a waiver of it. The Customer may not assign these Terms without WorkSeat’s consent, except to a successor of its business.

22.Contact

Questions about these Terms can be sent to admin@workseat.app. Users of a WorkSeat workspace should also contact their own workspace administrator for questions about access and account changes.
